L’intento principale dell’articolo è analizzare le problematiche costituzionali relative alla legge n. 120 del 2011, la quale impone alle società quotate e alle società controllate dalle P.A di riservare la quota di un terzo, del consiglio di amministrazione e del collegio sindacale, al genere meno rappresentato. Prima di affrontare il cuore del problema, è necessario capire quali siano le ragioni che hanno spinto il legislatore ad introdurre un sistema di quote al fine di incrementare la partecipazione femminile ai vertici delle società, ricostruendo a tal fine, anche le principali fasi dell’iter legislativo. La legge apre problematiche ampie e rilevanti, in relazione al principio di uguaglianza e, in particolare, ai limiti costituzionalmente consentiti delle misure di attuazione dell’art. 3, comma 2, Cost. Infatti la legge, sembrando attribuire direttamente un risultato, parrebbe porsi in difficile equilibrio con i principi espressi dalla Corte costituzionale riguardo a misure volte al riequilibrio di genere nell’ambito della rappresentanza politica. Tuttavia, è necessario tenere in considerazione che la legge agendo nell’ambito economico e dell’impresa, non rischia di sacrificare diritti inderogabili degli individui e principi supremi nel nostro ordinamento costituzionale. Inoltre, si intende ragionare sul carattere temporaneo delle misure, il quale potrebbe evitare il rischio di un’irragionevole ed eccessiva discriminazione nei confronti dei soggetti non preferiti. Infine, si vuole valutare la compatibilità delle norme con il diritto dell’Unione europea e con i principi espressi dalla Corte di giustizia, la quale ha sancito i limiti dei trattamenti preferenziali per l’accesso al lavoro.
Gender quotas on boards of directors: constitutional issues
The aim of the article is to analyze constitutional issues related to Italian law n. 120 of 2011, which requires listed companies and public companies to reserve one-third share of both the Board of Directors and Board of Auditors, to the less represented gender within the company.
Before addressing the heart of the problem, it's necessary to understand the reasons which prompted the legislator to introduce a quota system, in order to increase the participation of women at the top of companies, rebuilding for this purpose the main phases of the legislative process.
The law raises wide and relevant issues with regard the principle of equality and, especially, to the constitutionally limits concerning the implementing measures governed by Article 3, paragraph 2, of the Constitution.
In fact, this law aiming at ascribing directly a result, would seem to arise in delicate balance with the principles expressed by the Constitutional Court concerning with measures aimed at gender balance in the political representation.
However, it's necessary to keep in mind that this law acts within economic and business field, and for this reason is not likely to sacrifice statutory rights of individuals and supreme principles of our constitutional order.
In addition, the aim is to think about the temporary nature of these measures, which could avoid the risk of excessive and unreasonable discrimination.
Finally, it’s important to evaluate the compatibility of these rules with the EU laws and with the principles expressed by the Court of Justice, which has established the limits of preferential treatments over access to employment.
